The Urbanspace Challenge (“Program”), organized and managed by Urbanspace Holdings (“Event Organizer” or “Urbanspace”), will consist of three phases: (i) call for entry to determine the participants for the second phase, (ii) initial selection for three finalists to participate to a tasting event and (iii) winner to be selected to win booth at the Urbanspace, 15 West Washington (Chicago, IL) market location.
Phase 1: Culinary entrepreneurs in the Chicagoland area as further defined below (the “Participants”) may submit a business plan in the fast casual dining category to Event Organizer for the opportunity to be selected as a finalist in the Urbanspace Challenge.
Phase 2: Three (3) Participants will be selected and will be invited to the final tasting challenge on October 15 in Chicago, IL.
Phase 3: One (1) of the three (3) Participants will be selected and will be awarded a booth at the Urbanspace 15 W Washington food hall to operate their eatery rent free for three (3) months. Winner will be responsible for the costs of operating the booth including but not limited to the cost of food and other expenses. Winner, at their own cost and expense may elect to extend the lease for an additional three (3) months at the end of the winning three (3) month period. The Winner will be notified on October 15, 2019.
The Winner will be selected based on jury selection via a tasting event (“Tasting Event”).
How To Enter: Between Thursday, Sept 5th, 2019 7:00 AM (CST) to Tuesday, Oct 1st, 12:00 PM (CST) please fill out the required form on www.urbanspacechallenge.com. All entries must be received by 12:00 PM CST on Oct 3rd, 2019 to be considered eligible. Entries must include but not be limited to contact information, menu, logo, food photos, video and a brief description that outlines the culinary idea. Event Organizer is not responsible for electronic transmission errors resulting in omission, interruption, deletion, delay in transmission.
Event Organizer accepts no responsibility for submissions lost, delayed, damaged, defaced, or mislaid, howsoever caused.
Who Can Enter: The Participant must be at least 21 years of age, a culinary entrepreneur in the Chicagoland area and authorized to enter on behalf of a restaurant, if applicable.
Event Organizer will, in its sole discretion, select Participants based on criteria including but not limited to:
Ability and willingness to create consistent offers to Sponsor’s cardmembers at each market
Ability and willingness to participate in Sponsor and Event Organizer marketing and promotion of the Program
Willingness to permit Sponsor to place Sponsor-messaging related to the Program inside the Participant’s booth
Ability to grant Event Organizer and Sponsor the necessary rights to use the Participant’s logos and other marks to advertise and promote the Program on Event Organizer’s and Sponsor’s website, social media pages, and in such other forms of media as Sponsor designates
Ability to grant Event Organizer and Sponsor access to other chefs, and individuals in food and beverage businesses for Sponsor’s promotional purposes
Probability of success of their business plan
Employees and consultants of Event Organizer and their respective parents, related subsidiaries and affiliated companies, prize suppliers, and advertising and promotion agencies, and each of their immediate family members (spouse, parents, children, siblings, and their respective spouses regardless where they live) and individuals living in the same households of the above, whether or not related, are not eligible to enter or win a prize. Each Participant, by participating in the Program, agrees to be bound by these Official Rules and the Event Organizer’s decisions, which are final and binding in all matters. Void where prohibited or restricted by law. The Program is subject to all applicable federal, state, and local laws and regulations.
Selection Drawing: Event Organizer will select three (3) potential Program Participants on or about October 7, 2019 from among all eligible entries received during the Entry Period. The odds of being selected depend on the total number of eligible entries received.
Program Participant Obligations: The Event Organizer will contact potential Participants via email on or about October 7, 2019. The potential Participants will be required to respond within 24 hours to initial notification. Potential Participants will be required to fulfill the following obligations:
Participate in a tasting event on or about October 15, 2019 at a time and location in Chicago, yet to be determined;
Provide and maintain comprehensive general liability, workers’ compensation and employer liability, food products liability, and umbrella excess liability coverage at the amounts required by Sponsor and Event Organizer. Restaurant’s policies shall name Event Organizer, its affiliates, and its and their employees and officers as additional insured.
Enter into an agreement (the “Participant Agreement”) with Event Organizer to participate in the Program and to grant the rights set forth herein as well as additional rights, as determined by Event Organizer, including but not limited to the Participants granting a license to Event Organizer and Sponsor , and, if needed, cause a chef participating in the Program on behalf of the Participant (“Chef”) to enter into any agreements required by Event Organizer and Sponsor and to grant the rights set forth herein;
Post on Participant’s Social Media platforms about its participation in the Program subject to Event Organizer’s and Sponsor’s prior approval and subject to Urbanspace
Engage with media outlets to promote participation in the Program.
Urbanchef Challenge Winner Obligations: If determined to be the Winner, such Participant agrees to:
Execute any additional documentation required by Sponsor or Event Organizer;
Grant Event Organizer and Sponsor the right to promote the menu in any manner it sees fit;
Permit Event Organizer and Sponsor to place Sponsor-messaging related to the Program inside and outside the booth;
Operate a booth at the Urbanspace W Washington starting January 1, 2020 for a minimum period of three (3) months;
Offer, as agreed to by Sponsor, consistent cardmember offers at the Urbanspace Lexington market booth
Grant Event Organizer and Sponsor the necessary rights to use the Participant’s logos and other marks to advertise and promote the Program on Sponsor and Event Organizer’s website, social media pages, and in such other forms of media as Sponsor and Event Organizer designates;
Grant Event Organizer and Sponsor access to chefs, owners, etc. for promotional purposes of the Program ;
Operate within all applicable health, safety and labor laws
Participate in possible events based on mutually agreed upon dates, times and locations.
In the event that any potential Participant cannot be contacted, or any requested information is not received from a potential Participant or the Winner within the requested time period, a potential Participant and/or the Winner (as applicable) may be disqualified. Failure to timely return any documents requested, return of any notification as undeliverable, or noncompliance with these Official Rules will result in such Participant or the Winner (as applicable) being disqualified.
Tasting Event: The Tasting Event will take place on or about October 15 at a time and at a location in Chicago to be determined by Event Organizer. Participants will be required to prepare a specific dish, to be determined by Participant with oversight by Event Organizer. Participants will be provided with all necessary kitchen tools and ingredients to prepare the dish. Exact details of Tasting event will be provided to Participants prior to event.
Dishes prepared by Participants will be judged by a pre-determined jury based on the following equally weighted criteria: taste, presentation, and originality/creativity. In the event of a tie, an additional tie-breaking judge will determine the Winner from those tied based on the judging criteria set forth here. Event Organizer reserves the right to not select a Winner if, in its sole discretion, none of the dishes prepared by the Participants score at least 50% in the judging process. In the case of no Winner, scores will not be revealed by Event Organizer.
Tasting Event may be filmed, photographed or otherwise recorded by Event Organizer and its representatives (“Program Footage”) and Event Organizer shall own all rights, title and interest in the Program Footage. Participants and Chefs understand that Event Organizer, its designees, successors, assigns and licensees, shall have the right to edit, modify, reproduce, distribute, display, perform, create derivative works based upon, or otherwise exploit the Program Footage and all elements embodied therein, along with name of the Participant and its logo(s), as well as the Chef’s name, biographical information, likeness, performance, voice or image, in whole or in part, together with other materials, in any manner or media now known or hereafter devised (including, without limitation, posting the Program Footage on Event Organizer websites (including, but not limited to, its social media pages or accounts)), other media channels throughout the world in perpetuity for advertising, promotional and other purposes, without further compensation, notification or permission. Event Organizer and Sponsor have no obligation to make use of the rights granted herein. Releasees (as defined below) are not responsible for any unauthorized use of Program Footage by third parties.
Participants and Chefs agree to grant all rights necessary for Event Organizer and their designees to fulfill the obligations and promotional and marketing plans set forth in the Participant Obligations sections above.
Conditions of Entry:
Event Organizer and their respective parent companies, affiliates, subsidiaries, divisions, advertising and promotion agencies, and all of their officers, directors, shareholders, employees, representatives and agents (collectively “Releasees”) are not responsible for: (i) incorrect or inaccurate transcription of entry information, or for any human, typographical, printing or other errors, (ii) technical malfunctions, lost/delayed data transmission, omission, interruption, deletion, defect, line failures of any telephone network, computer equipment, software, inability to access any online service or web site, or any other error or malfunction, or any injury or damage to Participant’s or any other person’s computer related to or resulting from participation or downloading any materials in this Program, (iii) or for late, lost, stolen, illegible, damaged, incomplete, inaccurate, undelivered, delayed or misdirected entries or email, for any reason, including computer, telephone, paper transfer, or process any transaction thereon, (iv) other errors or problems which may occur in connection with the administration of the Program, the processing of entries, the judging of the Tasting Event, the public vote, or in any Program related materials or the cancellation or postponement of Event Organizer or any Event Organizer event associated with Event Organizer. If, in the Event Organizer’s opinion, there is any suspected or actual evidence of electronic or non-electronic tampering with any portion of this Program, or if technical difficulties compromise the integrity of this Program, Event Organizer reserves the right to disqualify any Participant(and void its entry and/or prevent it from participating in any future promotion by Sponsor), and/or who tampers with the entry process and/or who is acting in violation of these Official Rules modify or cancel or terminate this Program, in whole or in part, at any time without notice and award select Participants in a random drawing from among all non-suspect eligible entries received as of the termination date or as otherwise deemed fair and appropriate. In the event the Program is cancelled, no Participants or Winner will be determined. Caution: Any attempt by a Participant or any other individual to deliberately damage any online service or web site or undermine the legitimate operation of this Program may be a violation of criminal and civil laws and should such an attempt be made, the Sponsor reserves the right to seek damages (including attorneys’ fees) and/or other remedies from any such person to the fullest extent permitted by law. Event Organzier’s failure to enforce any term of these Official Rules shall not constitute a waiver of that or any other provision. Event Organizer reserves the right to modify prize award procedures at its discretion.
Disputes and Limitation of Liability: By participating in the Program, except where prohibited, Participants agree:  to release, indemnify and hold harmless Releasees and each of their respective agents, representatives, officers, directors, shareholders and employees from and against any injuries, losses, damages, claims, actions and any liability of any kind resulting from or arising from participation in the Program;  any and all disputes, claims and causes of action arising out of or connected with this Program shall be resolved individually, without resort to any form of class action, and exclusively in the United States District Court for the Eastern District of New York or the appropriate New York State Court located in Queens County, New York;  any and all claims, judgments and awards shall be limited to actual out-of-pocket costs incurred, including costs associated with entering this Program, and in no event will Participants or Chefs be permitted to obtain attorneys’ fees or other legal costs; and  under no circumstances will Participants or Chefs be permitted to obtain awards for, and Participants and Chefs hereby waive all rights to claim, indirect, punitive, incidental and consequential damages and any other damages, other than for actual out-of-pocket expenses, and any and all rights to have damages multiplied or otherwise increased. This Program and these Official Rules shall be interpreted in accordance with the laws of the State of New York without regard to its principles of conflicts of law.
Privacy: Information collected from Participants is used only for the purpose of the drawing and to notify Participants, and will not be re-used, sold or shared in any manner by Event Organizer or any third parties unless Participant has opted-in to receive additional information and marketing or promotional material from a third party.
Who Won: To request the name of the Winners, send an e-mail to firstname.lastname@example.org. Requests must be received no later than December 31, 2019. The list will be sent when the Winners have been chosen and verified.
